Contract formation & incorporation: Terms of Agreement
By accepting a quote, confirming a booking (email/SMS), replying “I accept”, paying a deposit, or allowing our team to start, you (“Client”) agree to these Terms with Titan Cleaning Co. (“Titan”, “we”, “us”).
If anything conflicts, your Quote (including special conditions) wins over these Terms. Electronic acceptance is valid under Queensland law.
Version control & records. We record the quote ID, property, your contact details, acceptance method (e.g., accepted/deposit/works commenced), date/time/IP (for online acceptance) and the Terms version shown. Our CRM/finance records are the source of truth unless there’s a clear error (please raise invoice queries within 7 days).
1) Scope, Variations & Priority: What we’re doing, and how changes work
Scope. As described in our quote/service order (exterior surfaces unless stated).
Variations. Extras or unforeseen conditions are priced by written variation (email/SMS is fine) before we proceed.
Material change option. If a variation lifts price by >15% or delays completion by >1 business day, you can cancel before we proceed and we’ll refund any unused deposit (less approved costs).
Priority. Quote → these Terms → any other copy.
2) Pricing, Payment & Overdues: Fair pricing, clear timeframes.
2.1 Pricing. All amounts AUD, ex-GST unless stated. Quotes valid 30 days.
2.2 Deposits. Jobs > $175: 50% deposit to book (or full upfront if requested). Jobs ≤ $175: due on completion.
2.3 Methods. Bank transfer, Visa/Mastercard (+3% card fee) or cash.
2.4 Due date. Invoices due within 7 days unless stated otherwise.
2.5 Overdues. 3%/month on overdue balances; you cover Titan’s reasonable recovery costs (agency/legal).
2.6 Part disputes. Please pay undisputed amounts by the due date.
2.7 Records. Our CRM/finance records are conclusive absent manifest error; invoice queries within 7 days.
2.8 No set-off & chargebacks. Don’t use set-off or card chargebacks for undisputed sums; unauthorised chargebacks may incur reasonable admin/recovery costs.
3) Preparing for Your Service (Site Readiness: Help us help you.)
Authority & approvals. You’re the owner/authorised agent and any strata/permit approvals and neighbour notices (if needed) are in place.
Access & utilities. Provide safe access/parking, a working outdoor tap and (if requested) a power outlet (GPO).
Clear the area. Please remove vehicles, pots, furniture, mats and décor (we don’t move these and aren’t responsible for them).
Keep it safe. Keep pets, kids and visitors out of work zones.
Fragile spots. Tell us about anything delicate or already damaged (e.g., loose tiles, oxidised/peeling paint, cracked pavers/render, leaking flashings/gutters, exposed electrics).
Run-off & gardens. Point out drains and sensitive areas (ponds, new turf, veggie beds) so we can plan protection and run-off.
Delays on the day. If the site isn’t ready or access is delayed >20 minutes, a standby/call-out fee may apply (see quote/current schedule). If a generator is needed, it’s a variation.
Unattended access. If you authorise keys/codes/lockbox, we take reasonable care, but we’re not responsible for loss from incorrect codes, faulty locks, or third-party interference unrelated to our negligence.
We’ll help. Not sure about prep? Ask—we’ll do a quick pre-start check and flag anything that needs attention.
3A) Structural Condition & Safety: Ensuring a safe environment for the job.
Our promise: We work carefully and use industry-standard methods. If something looks unsafe or unsuitable, we’ll pause and explain options.
Fit for cleaning. You confirm structures/surfaces near the work area are sound, weather-tight and suitable for exterior cleaning (soft-wash detergents, controlled water pressure, ladders/access gear).
Known weaknesses. Please tell us in writing about known/suspected issues (e.g., brittle/loose roof tiles/sheets, cracked render/pavers, hollow/soft concrete, peeling/oxidised coatings, failed sealants/flashings, leaking/blocked gutters/downpipes, compromised glazing or exposed electrics).
Secure & weatherproof. Close/cover doors, windows, vents, external power points, lights, alarms, inverters, and secure/remove loose items (vehicles, furniture, pots, décor).
If conditions aren’t right. We may pause or adjust methods, or recommend remedial works. Extra time/equipment are variations. We’re not responsible for delays while making the site safe.
Fair risk allocation. As the law allows, we’re not responsible for outcomes caused by pre-existing/hidden defects, structural fatigue, prior poor workmanship, or inherent material limits (e.g., oxidation, high porosity, efflorescence), or where prep/protection/cure instructions in Clauses 3 and 6 (or quote/SDS/TDS) aren’t followed.
Covering our reasonable loss. If a third party claims loss because site prep/disclosure/protection wasn’t done as above, you agree to cover our reasonable losses/costs, except where caused by our negligence or our breach.
Your rights remain. Nothing here removes your non-excludable ACL rights; any limits apply only as the law permits.
3B) Hazardous Materials, Utilities & Electrical Safety Tell us about asbestos/lead/mould/electrics
Please disclose. Tell us in writing if asbestos, lead-based coatings, significant mould, contaminated run-off or non-weatherproof electrics are present or suspected.
Right to stop. If hazardous materials/unsafe electrics are identified or suspected, we may pause or refuse work until safe. Extra time/equipment are variations.
Containment. We minimise overspray/run-off. Where capture/neutralisation/trade-waste is mandated, related costs are variations.
Risk allocation. To the extent the law allows, we’re not liable for exposure/damage from pre-existing hazards or unsafe electrics.
4) Service Standards, Results & Warranty (We’ll do a quality job—within real-world limits)
Care & skill. We follow industry methods and product data sheets.
Results vary. Age, porosity, prior coatings, efflorescence, oil/rust/organic stains and oxidation limit outcomes—perfect removal isn’t guaranteed.
Soft-wash chemistry. Low-pressure detergents lighten organic staining; they may bleach sensitive plants/metals despite precautions (see Schedule A).
Workmanship warranty. Tell us in writing with photos within 7 days if you see a workmanship issue; we’ll re-attend within a reasonable time. Excludes new soiling/weathering, client neglect, product limits and pre-existing conditions.
Biological regrowth. We remove growth present on the day. Future regrowth of mould/algae/lichens depends on conditions and isn’t a defect.
ACL safety valve. Your ACL rights remain; our limits apply only as permitted by law.
5) Cancellations, Weather & Force Majeure (Life happens—here’s how we handle it)
Client cancel <48h: deposit forfeited. ≥48h: deposit refunded/rolled.
Weather. For safety/quality (rain, wind, extreme heat) we may reschedule—deposits roll forward.
Force majeure. No liability for delays outside our control (storms, outages, illness, parts failure, government orders).
6) Materials, Sealing & Cure Windows “Aftercare matters to the result”)
Test patch. We may show a small test area. Proceeding = acceptance of that outcome.
Sealers. Moisture/porosity/substrate condition affect results. Whitening/blushing/trapped moisture can occur on damp substrates or with active efflorescence.
Cure & access (unless product data sheet says otherwise):
Keep dry: 24 hours (no irrigation).
Foot traffic: after 24 hours; vehicles: after 72 hours.
No cleaning/pressure/chemicals for 7 days.
Early use/moisture impacts are Client risk.
Slip variance. Some coatings increase slip resistance; others may reduce it when wet—reasonable variance is inherent to the product chosen.
Polymeric sand. Keep area dry 24–48 hours; irrigation off. Minor early washout after first rains isn’t a defect.
Tyre pick-up/marking. Fresh sealers can mark from hot tyres/plasticisers during early cure; follow re-entry guidance. If we re-attend, it’s billable.
7) Roofs, Gutters & Solar — Specific Risks (“Older components can be fragile”)
Roofs. Old/brittle tiles, porous mortar, degraded screws/seals may fail during/after cleaning. We avoid aggressive pressure; we’re not liable for leaks from pre-existing weaknesses.
Gutters/Downpipes. Flushing can reveal hidden blockages/leaks; pre-existing failures aren’t our liability.
Solar panels. We follow manufacturer guidance and don’t disturb cabling/mounts. Not liable for pre-existing micro-cracks/delamination or warranties voided by non-Titan works.
Skylights & accessories. Older polycarbonate/acrylic skylights, antennae, whirlybirds, solar HWS, perished seals/brittle domes can crack or leak due to age/UV. We avoid aggressive methods; however, we’re not liable for failure of aged/brittle components or pre-existing leaks.
8) Environmental & Regulatory (“We care for your garden and comply with rules”)
We contain/dilute/neutralise run-off where reasonable and protect gardens.
You authorise practical on-site measures (gutter guards, berms, bagging, diversion) and identify sensitive areas.
We comply with WHS and act reasonably to comply with stormwater/environment rules. Extra compliance/disposal costs (if mandated/requested) are variations.
Neighbouring property. You’re authorised to permit the Services and acknowledge noise, mist and minor spray can occur despite safeguards. Please notify neighbours if appropriate. You indemnify us for third-party complaints/claims arising from lack of such authorisation/notice, except where caused by our negligence.
Water restrictions. You warrant any required water permissions/exemptions are in place. If authorities impose conditions, extra compliance is a variation. Fines from incorrect Client information are for the Client.
9) Damage & Risk Allocation (We’re fair, but we can’t insure the past”)
Pre-existing conditions. Not our liability (oxidation, loose/flaking coatings, hollow/soft concrete, cracked pavers, friable pointing/render).
Inherent risks. Soft-wash may highlight oxidation (“tiger striping”) or reveal colour variance; degreasers can draw out subsurface staining. These aren’t defects. See also Clauses 3 & 3A.
No indirect loss. We’re not liable for indirect or consequential loss (e.g., lost rent/value, business interruption).
Liability cap. Our total liability for a claim is capped at the amount paid for the relevant Services, to the extent permitted by law.
10) Media, Documentation & Privacy (We document the job and respect privacy”)
Photos/video. We record before/after for quality, records and training; we avoid identifiable personal info where reasonable.
Marketing use. Unless you opt out in writing before work starts, we may use images of work areas only in our portfolio/marketing.
SDS/TDS. Safety/Data sheets available on request.
Privacy. By engaging us, you consent to us using contact/property details to deliver services, bill you and keep records per our Privacy Policy.
11) Disputes & Rectification
Tell us promptly. Notify concerns within 7 days of completion (with photos). If it’s workmanship, we’ll rectify within a reasonable time.
If still unresolved. After 30 days, we’ll attend mediation in Hervey Bay. If unresolved, either party may proceed in the Queensland courts.
12) Termination (summary: “Material breach → fix or finish”)
Either party may terminate for material breach not remedied within 5 business days of written notice.
On termination, you pay for Services performed and approved materials procured to date.
13) Insurance, Safety & Right to Refuse:
We’re insured and safety-first
We hold $10m Public Liability Insurance (evidence on request).
We may refuse/stop work if conditions are unsafe/non-compliant (WHS discretion). Standby/return fees may apply if hazards aren’t remedied.
Height safety & access. If scaffolds, edge protection, EWP (cherry picker) or fall-arrest are required/requested, hire and deployment time are variations. We may refuse roof work without compliant access.
14) General
Working hours. Usual hours 7:00am–5:00pm Mon–Sat (or as council allows). We’ll discuss exceptions in advance.
Subcontractors. We may subcontract; Titan remains responsible for delivery.
Assignment. You can’t assign without our consent.
Severability. If a term is invalid, the rest stands.
Entire agreement. These Terms + your Quote are the whole agreement.
Amendments. Must be in writing (email is fine).
Governing law. Queensland, Australia.
Survival. Clauses 2 (to unpaid sums), 3–3B, 4.4–4.6, 6–11, and 14 survive completion/termination.
No waiver. Not enforcing a right doesn’t waive it.
Schedule A — Risk Disclosure (read before accepting)
Soft-wash chemistry: May bleach organics and discolour sensitive metals/fabrics/plants despite rinsing.
Oxidised coatings: Cleaning can reveal streaking/uneven colour where oxidation already exists (e.g., Colorbond®, painted gutters/fascia). Cleaning **exposes—doesn’t cause—**oxidation.
Porous/aged masonry: Deep stains, salt (efflorescence), rust and oil can persist or reappear as pores release contaminants.
Sealing: Shade, moisture and temperature affect cure; whitening/blushing can occur if moisture is present. Please follow keep-dry/traffic windows.
Run-off: We’ll manage run-off reasonably; please point out sensitive areas (ponds, new turf, edible gardens).
Glass: Mineral deposits can etch glass over time; cleaning may expose pre-existing etching.
Roofing: Old tiles/flashings/brittle sheets may crack or leak due to age—not our workmanship.
Hidden defects: Cleaning often reveals failed sealants, hollow render, loose pavers—repairs are outside scope unless quoted.
